Hutchison Whampoa Europe Investments S.a r.l, an indirect wholly-owned subsidiary of CK Hutchison Holdings, has subscribed for TOM GROUP (02383.HK)'s subordinated perpetual securities in the aggregate principal amount of $4.5 billion, as announced by TOM GROUP. CK Hutchison Holdings is a substantial shareholder of the Group. The proceeds of the issuance of perpetual securities are primarily for repayment of the Group's material liabilities, including the long-term non-current bank loans together with accrued interest (which, immediately prior to the issuance, amounts to approx. $4.08 billion) and related expenses.
